Terms of Service

1. Eligibility and Accounts

• You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. Registration requires accurate information and an active email address.
• You are responsible for all activity that occurs under your account, safeguarding credentials, and ensuring teammates you invite comply with these Terms.
• We may suspend or terminate accounts, reclaim usernames, or disable access if we detect misuse, inactivity, or violations of these Terms.

2. The Indexly Service

• Indexly provides automations, dashboards, and APIs that streamline IndexNow submissions, monitor domain health, and manage sitemap ingestion.
• Features may include domain onboarding, workspace collaboration, automation scheduling, validation insights, queue analytics, and integrations with search engines or third-party APIs.
• We may update, enhance, or discontinue any feature. Certain functionality may require eligibility (for example, paid plans or verified domains).
• Analytics and recommendation features rely on aggregated data and may be delayed, estimated, or subject to change. They are provided for informational purposes only.

3. Plans, Payments, and Taxes

• Some features require payment. Pricing, currency, and billing cadence are shown at checkout and may change with notice.
• Payments are processed by trusted payment providers. By submitting a purchase you authorize the provider to charge the payment method you supply and to share transaction metadata with Indexly so we can activate entitlements.
• Fees are due immediately and, unless stated otherwise, are non-refundable. Refunds are issued only where required by law or at our discretion.
• You are responsible for any applicable taxes, duties, or levies, except for taxes on Indexly’s income.
• We may suspend or revoke access to paid features for non-payment, disputed charges, or suspected fraud.

4. Acceptable Use and Customer Responsibilities

• Provide accurate domains, sitemaps, IndexNow keys, and other configuration data and ensure you have permission to submit them.
• Do not misuse the Service to transmit malicious URLs, spam search engines, circumvent limits, or otherwise disrupt platform stability.
• Maintain up-to-date access controls and notify us immediately of any unauthorized use of credentials or security incidents.
• Comply with applicable laws, regulations, and search engine policies while using the Service.

5. Rewards, Beta Features, and Feedback

Indexly may offer beta features, incentives, or referral programs from time to time. These programs are optional, may change without notice, and may have additional terms. If you provide feedback or suggestions, you grant Indexly a perpetual, irrevocable, royalty-free license to use that feedback without restriction.

6. Content Ownership and Licenses

You retain ownership of content you submit to the Service. You grant Indexly a worldwide, royalty-free license to host, process, and transmit that content as necessary to provide the Service and enforce these Terms. Indexly retains all rights, title, and interest in the Service, including software, documentation, and branding.

7. Confidentiality

Each party agrees to protect the other party’s confidential information and use it only as necessary to perform obligations under these Terms. Confidential information excludes data that is or becomes public through no fault of the receiving party, was already lawfully known, is received from a third party without breach of confidentiality, or is independently developed without using the other party’s confidential information.

8. Third-Party Services

The Service may integrate with or link to third-party services (for example, payment processors, hosting providers, analytics platforms, or AI vendors). Your use of those services is governed by their own terms. Indexly does not control and is not responsible for third-party services.

9. Termination and Suspension

• You may close your account at any time by emailing support@indexly.cc. Some content may persist if retention is required for legal, security, or operational reasons.
• We may suspend or terminate access immediately for violations of these Terms, non-payment, suspected fraud, to comply with law, or to protect the Service and its users. We will make reasonable efforts to notify you unless legal or security requirements prevent us from doing so.
• Upon termination, sections that by their nature should survive (including payment obligations, confidentiality, disclaimers, limitations of liability, and indemnities) remain in effect.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, INDEXLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. INDEXLY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDEXLY AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. INDEXLY’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID INDEXLY FOR ACCESS TO THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Indexly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your content, your use of the Service, or your violation of these Terms or applicable law.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for disputes that are not subject to mandatory arbitration or cannot be resolved informally.

14. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will provide notice (for example, by email or by updating the date at the top of this page). Your continued use of the Service after the changes become effective constitutes acceptance of the revised Terms.
